Associate Commercial Counsel

San Francisco, CA

OPSWAT is searching for an attorney with the ability to negotiate and draft a broad range of commercial contracts and to identify potential issues and solutions.  Your experience handling privacy or export control matters are highly preferred. 

What You Will Be Doing:

  • Negotiate, draft and review commercial agreements including SaaS subscription agreements, network services agreements, reseller/distributor agreements, vendor agreements, leases and OEM licenses.
  • Provide legal and strategic business advice and support across a broad spectrum of internal functions.
  • Participate in monitoring and administering the company’s compliance with regulatory requirements, including global data protection and privacy laws as well as export control.
  • Build and improve legal team processes as we scale.

What We Need from You:

  • Juris Doctor.
  • CA Bar Admission and in good standing.
  • 4+ years of experience handling transactional matters for technology companies.
  • Problem-solving in quickly moving situations.
  • Negotiating contracts with customers, suppliers and technology partners.
  • Drafting documents using a commercial, client-focused style.
  • Excellent communication and organization skills.
  • Cooperating effectively as part of a team, sharing information and responsibility.
  • Maintaining a controlled and flexible approach under pressure.
  • Providing responsive, professional service that effectively helps internal clients to resolve issues.
  • Commercially astute and desire to stay current on key legal and business developments.

It Would Be Nice If You Had:

  • Knowledge of implications of privacy and export control law to  businesses targeting enterprise customers globally.
  • A good sense of humor.
